For our Terms of Business, kindly review the following.

1.0 Terms of business

1.1 The client has supplied or will supply, upon request to Lending Box ("LB"), all necessary details for the application as deemed reasonably necessary by LB. The client will cooperate generally with LB to facilitate the processing of an application for commercial funding.

1.2 LB and its partners will collaborate and communicate with the client's accountancy and other advisors as reasonably required to ensure a successful outcome for the client.

1.3 LB has been engaged in this matter to:

  1. Identify potential funding solutions;
  2. Complete a commercial funding application based on information provided by the client;
  3. Compile information and documentation in a suitable format for presentation to lending partners and potential funders.

2.0 Use of technology and artificial intelligence

2.1 LB uses technology, including artificial intelligence (AI) and automated systems, to assist in the delivery of its services. This may include:

  • Matching client profiles to suitable funding products;
  • Analysing financial data to identify relevant lender partners;
  • Generating initial assessments and dashboard content;
  • Supporting customer communications.

2.2 AI is used as a tool to support and enhance our service. Human oversight is maintained throughout the process by our relationship managers. No binding lending decisions are made solely by automated means by LB.

2.3 The client may request human review of any AI-assisted output or recommendation at any time by contacting their relationship manager.

3.0 Conflicts of interest and confidentiality

3.1 LB confirms that any confidential information provided by the client will be kept confidential, except as required by law, as necessary to provide our services (including sharing with lender partners and relevant third parties as described in our Privacy Policy), or as specified in regulatory, ethical, or other professional pronouncements applicable to the engagement.

3.2 The client agrees that LB taking appropriate steps, in good faith, to preserve confidential information during and after the termination of this engagement constitutes sufficient compliance with the duty of confidence.

4.0 Limitation of liability

4.1 The client acknowledges that loan terms and interest rates may change, and LB assumes no liability for any acts or omissions by the client resulting in the non-completion, withdrawal, or cancellation of the application.

4.2 The client acknowledges that LB is not an agent of any lender, and all lending decisions rest solely with the lender, for which LB bears no liability.

4.3 The client confirms that there is no principal-agent relationship between the client and LB, and LB has not held itself out as the client's agent.

4.4 The client acknowledges that LB does not warrant the accuracy or veracity of information provided by the client in the application, and LB is not liable for inaccurate or false information provided by the client.

4.5 The client unconditionally agrees to indemnify LB against any losses, costs, claims, liabilities, damages, demands, and expenses arising from the client's acts or omissions related to the application and/or providing false information in connection with the application.

4.6 LB will provide professional services with reasonable care and skill. However, LB will not be responsible for losses arising from the supply of incorrect or incomplete information, or failure to act on advice or respond promptly to communications.

5.0 Data protection

5.1 The client consents to LB processing personal data provided in the application in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018, for purposes including processing and submitting the application, sharing data with lender partners and relevant third parties, complying with applicable laws, administering records, fraud prevention, and providing marketing information (where consent has been given).

5.2 The client confirms having the consent of any third party whose information is disclosed to LB for assessing the application and administering any subsequent loan.

5.3 The client consents to LB, lender partners, and the lender holding, using, processing, and sharing information given in the application or connected to it, during the loan's lifetime.

5.4 The client consents to LB sharing information provided with relevant parties involved in processing the application, including but not limited to: service providers, banks, lenders, partners, agents, introducers, credit reference agencies, fraud prevention agencies, solicitors, surveyors, and their respective agents.

5.5 The client acknowledges that LB and/or its agents will check details with fraud prevention agencies, the electoral register, Companies House, or other appropriate registries before and during the application process.

5.6 The client acknowledges that if false, misleading, incorrect, or inaccurate information is provided, LB's findings may be sent to fraud prevention agencies and/or law enforcement agencies.

6.0 Platform and dashboard

6.1 LB provides clients with access to a personalised online dashboard through which they can view their application status, funding offers, and related information.

6.2 The client is responsible for maintaining the confidentiality of their account login credentials and for all activity that occurs under their account.

6.3 LB reserves the right to suspend or terminate access to the platform at any time for security, maintenance, or compliance reasons.

7.0 Initial Disclosure Document (IDD) — Our services and costs

7.1 What products do we offer?

We provide access to a diverse range of commercial financial products, including unsecured term loans, merchant cash advances, invoice finance, asset finance, cashflow finance, short-term loans, secured loans, commercial mortgages, and more.

7.2 Whose products do we offer?

We offer products from a wide panel of lender partners across the alternative and mainstream lending markets. We are not tied to any single lender.

7.3 Which service will we provide you?

We act as a commercial finance broker. We will assess your needs, search the market, and present you with available funding options. You will then decide how to proceed. We do not provide regulated financial advice.

7.4 What will you have to pay us for our service?

A broker arrangement fee may apply for certain products, including secured loans. We may receive commission from the lender partner in connection with your application. Commission arrangements vary by lender and product. You are entitled to request details of any commission payable in relation to your specific application. We will disclose the nature of commission in our communications with you.
